You’re more than who you think you are.” Each person on this planet is unique; therefore, each person on this planet is irreplaceable.

To help spread this message, we are asking YOU for your participation in Olivia Newton-John’s brand- new fan music video for “Everybody’s Someone.”

Before starting, please make sure that you read the Terms & Conditions below and record your video with the following specifications:

BY PARTICIPATING IN THIS PROMOTION, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS SET FORTH HEREIN. ALL US FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

SUBMISSION OF A PUBLICALLY DISPLAYED OR ORIGINAL OWN VIDEO FOR CONTEST CONSTITUTES YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS.

Video Submission Manager’s decisions are final and binding in all matters relating to the OLIVIA NEWTON- JOHN “Everybody’s Someone” video contest (“Sweepstakes”).

Sweepstakes is in no way sponsored, endorsed, promoted or administered by, or associated with any other 3rd party company or platform.

SWEEPSTAKES PERIOD: The Sweepstakes begins at 12:00:00 AM Eastern Time (“ET”) on November 10, 2023 and ends at 11:59:59 PM PT on December 10, 2023 (“Submissions Period”). Video Submission Manager’s designated agent’s computer system shall be the official timekeeper for the Contest.

SWEEPSTAKES REQUIREMENTS: By participating in the Sweepstakes, each Participant is confirming that they have read and agree to comply with these Terms and Conditions (“Terms”), Video Submission Manager’s terms of use, located at olivianewton- john.com/everybodyssomeone and all other Sweepstakes requirements. All Video submissions,

requests and/or materials submitted become the property of Video Submission Manager and will not be returned or acknowledged.

Normal Internet access and data usage charges imposed by your carrier or online service will apply. Video Submission Manager reserves the right to post (or not post) any video submitted in this Promotion on its website, official band social media channel (as a video) controlled by Video Submission Manager, and on social media, in its sole and absolute discretion, notwithstanding using to repurpose and used as video content by OLIVIA NEWTON-JOHN brand which will be distributed and released globally for promotional and commercial use in any formats.

By submitting a video, you hereby agree to hold Video Submission Manager and their respective affiliates and subsidiaries, and the officers, directors and employees of each of the foregoing (“Released Parties”), harmless from and against any liability of any kind arising from or in connection with any use of the video/audio. By submitting a video/audio, Participant hereby warrants and represents s/he has not included any restricted content in the video/audio and have not violated any of the requirements for video submissions as stated in these Terms. All videos become Video Submission Manager’s property and will not be returned or acknowledged.

HOW TO ENTER: You may enter this Sweepstakes only by submitting a video through the official Vidday invitation link. Once submitted, all entries become the exclusive property of the Sponsors and will not be acknowledged, nor will they be returned. No other forms of entry are valid.

For your video submission, the Video Submission Manager encourages you to be innovative, creative, and clever, but please use good taste, keep the video, images, and/or artistic impression(s) (“Submissions”) free of obscenity or indecent material. Entries cannot defame, misrepresent or contain disparaging remarks about Video Submission Manager, or other people, products or companies or communicate messages or images inconsistent with the positive images and/or goodwill to which Video Submission Manager associates. Video Submission Manager reserves the right to monitor and will monitor or screen entries for consideration. By entering, you acknowledge that your entry may be posted on the Video Submission Manager’s Tik Tok, Facebook, Instagram, Youtube, Twitter account(s) and/or Web site (and any and all other digital platforms the Video Submission Manager owns), at Video Submission Manager’s sole discretion. Video Submission Manager has no obligation to use or post any Submission you submit. Video Submission Manager shall have full right and power to copy, publish, broadcast, display, distribute, use, edit, translate, alter, combine with other material, reuse and adapt any or all portions of the Submissions and/or entries in any way and for any purpose whatsoever, at any time, now or in the future, in any media now known or hereafter devised throughout the world in any manner whatsoever and for any purpose. Online entries that are not in accordance with the guidelines as stated herein, contain prohibited content or are not received during the Contest Period will be ineligible.

Content requirements:

All Submissions must be the original work of the entrants and not violate the rights of any other party, including but not limited to intellectual property rights or rights of privacy/publicity. Submissions may not contain any of the following content as determined by Video Submission Manager in their sole discretion: (a) sexually explicit or suggestive, violent or derogatory of any ethnic, racial, gender, religious, professional or age group, profane or pornographic, contain nudity or any materially-dangerous activity; (b) promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (c) is obscene or offensive, endorses any form of hate or hate group; (d) contains trademarks, logos or trade dress owned by others outside of the Olivia Newton-John brand, or advertises or promotes any brand or product of any kind, or contains any personal identification, such as license plate numbers, personal names, Instagram or Twitter account names, e-mail addresses or street addresses; (e) defames, misrepresents or contains disparaging remarks about other people or companies; (f) communicates messages or images inconsistent with the positive images and/or good will to which Video Submission Manager wish to associate; (g) contains copyrighted materials owned

by others (including photographs, sculptures, paintings and other works of art or images published on or in Web sites, television, movies or other media) without permission; (h) contains materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission; and (i) depicts, and cannot itself, be in violation of any law.

By submitting a Submission you warrant and represent that it: (a) is your original work; (b) does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity; (c) that you have obtained permission from any third party who appears in the entry or whose name, likeness, voice or other proprietary right is used in the entry, if any; and (d) that publication of the entry via various media including Web posting, will not infringe on the rights of any third party.

Any such entrant that violates the Content Requirements will indemnify and hold harmless, Sponsor from any claims to the contrary. Any entrant whose entry includes photographs, likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to, depictions of persons, buildings, trademarks or logos) must be able to provide legal releases for such use including use by Sponsor(s) of such entry, in a form satisfactory to Sponsor(s), upon request, prior to award of prize. Any entry that, in the sole opinion of Sponsor(s), is deemed to be inappropriate for publication is ineligible. Incomplete, illegible, false, deceptive or garbled entries are not eligible. For a video in which a person is recognizable, you must secure a model release from the subject or, in the case of a minor, the subject’s parent or guardian and provide it to the Video Submission Manager upon request. Images that violate or infringe upon another person’s rights, including copyright, are not eligible.

SUBMISSIONS POSTED TO THE VARIOUS SOCIAL MEDIA CHANNELS (IE:TIK TOK, INSTAGRAM, TWITTER, YOUTUBE, FACEBOOK, OR OTHER SOCIAL MEDIA ACCOUNTS) ARE NOT EDITED BY THE VIDEO SUBMISSION MANAGER AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF THE VIDEO SUBMISSION MANAGER IN ANY MANNER.

Any waiver of any obligation hereunder by Video Submission Manager(s) does not constitute a general waiver of any obligation to entrants.

SELECTION OF VIDEO SUBMISSIONS.

Video Submission Manager’s designated agent’s computer system will be the official timekeeper for all sweepstakes.

SELECTION:

· The Video Submission Manager reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes should virus, bug, non-authorised human intervention, fraud, or other cause beyond the Video Submission Manager’s control corrupt or affect the administration, security, fairness, or proper conduct of the Sweepstakes. In such cases, the Video Submission Manager may select a winner(s) from eligible entries received before and/or after the action taken by the Video Submission Manager if appropriate. The Video Submission Manager reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Terms & Conditions. The Video Submission Manager has the right, in its sole discretion, to

maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Sweepstakes rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws. Should such an attempt be made, the Video Submission Manager reserves the right to seek damages to the fullest extent permitted by law.

· Should the sweepstakes be terminated prior to the stated expiration date, notice will be posted on the Olivia Newton-John website (olivianewton-john.com). Video Submission Manager’s decisions concerning selection of video submissions, as well as all other matters relating to any sweepstakes, are final and binding.

Video Submission Guidelines: To qualify for the “Everybody’s Someone” Official Fan Video Sweepstakes, video submission must comply with the following content guidelines.

Video cannot:

· Be sexually explicit or suggestive; derogatory of any ethnicity, race, gender, or religion; or profane or pornographic (e.g., contain nudity);

· Promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), or any activities that may appear unsafe or dangerous; Defame, misrepresent or contain disparaging remarks about OLIVIA NEWTON-JOHN or any other people and/or companies;

· Contain any use of trademarks, logos, landmarks, copyrighted materials owned by others or contain any personal identification besides the Olivia Newton-John brand; Communicate messages or images inconsistent with the positive images and/or goodwill to which OLIVIA NEWTON-JOHN wishes to associate.

Video must:

● Be original and solely created by you or is currently at time of “upload” publicly displayed. It is your responsibility to obtain, prior to submission of your Photo, the approval and rights to use any individuals or content you did not create.

● Not have been previously used for any other commercial purpose.

Participant further represents and warrants that the Participant has obtained written permission from each person whose name, image, likeness, and/or voice (“Likeness”) is included in the Photo, and that such person(s) have granted Participant all necessary rights to use the person’s Likeness as described in these Terms, and that Participant can make written copies of such permissions available to the Video Submission Manager upon request. If the Likeness of a minor is included, such grant of rights must include written permission from the minor’s parent or legal guardian authorizing the use of the minor’s Likeness on behalf of the minor.

By submitting your video, you warrant and represent that you consent to the submission and use of the video in the Promotion. Promotion entities are not responsible for any unauthorized third- party use of any photo. Videos will not be held “in confidence” and the creation and submission of a video does not create a confidential relationship or obligation of secrecy between any Participant and Video Submission Manager or any of its affiliates.

ASSIGNMENT OF RIGHTS: Participant hereby acknowledges that video and all other materials of every kind whatsoever created by Participant relating to the Contest (collectively, the “Work”) are a “work made for hire” (as that term is used in the United States Copyright Act) for Video Submission Manager, and Video Submission Manager is the sole and exclusive owner, in perpetuity and throughout the universe, of all right, title and interest in and to the Work, including, without limitation, all copyrights in and to the Work (and all renewals and extensions thereof now or hereafter provided by law) and all the rights therein and thereto, and may exploit the Work (and all rights therein) in any manner throughout the world without restriction on a gratis basis. Without limiting the binding effect of any of the foregoing provisions, in the event that any part of the Work is deemed not to be a “work made for hire” for Video Submission Manager, Participant hereby irrevocably and exclusively grants and assigns to Video Submission Manager (or, if any applicable law prohibits or restricts such assignment, Participant hereby grants to Video Submission Manager an irrevocable, perpetual, royalty-free, transferable license of) on a gratis basis all right, title and interest in and to such Work, including, without limitation, all rights of every kind and nature (whether now known or hereafter devised, including all copyrights therein and thereto and all renewals and extensions thereof), throughout the universe, in perpetuity, for all purposes, in any and all media, whether now known or hereafter devised. Participant hereby waives all so-called “moral rights of authors” and “droit moral” rights (and any similar or analogous rights under the applicable laws of any country of the world). Each Participant agrees and acknowledges that no public performance, synchronization, mechanical, writing, publishing and/or master use royalties, monies or consideration of any kind will be payable in connection with Video Submission

Manager’s use of the Work, whether commercial use or otherwise, in any and all media, whether now known or hereafter devised.

RELEASES: Participating Participants agree to these Terms and the decisions of the Video Submission Manager and release, defend and hold harmless Released Parties as well as the employees, officers, directors and agents of each, from all claims and all liability, claims or actions of any kind whatsoever for injuries, damages or losses of any kind to persons, which may be sustained in connection with either directly or indirectly, participation in the Promotion.
